We congratulate you for choosing to visit and/or purchase from the Yael's Soup online website, whose address is www.yaelsoups.co.il (hereinafter – the “Site”). 


 The website is operated and managed by Yael Clears, C.P. 032800880, whose address is 5 Gush Katif Street, Elazar (hereinafter: “the Company”), and the telephone number through which it can be contacted, including regarding the website and/or for the purpose of receiving service for customers who have purchased the products, is 054-4916757, Sunday-Thursday between the hours of 09:00-17:00. On Saturdays, holidays, Sabbaths and holiday eves, the customer service center will be closed.

The Site serves as an e-commerce site that offers, (among other things) various products for sale (hereinafter: the “Products”).

Notwithstanding the provisions of this section, it is clarified that inaccuracies and/or errors and/or omissions may appear on the Site in good faith and without malicious intent and/or with the desire to mislead, and the Company, the Site Management and the Site will not bear any liability arising from the inaccuracies and/or errors.
7. The chapter titles are provided for the convenience and orientation of the client and will not be used in the interpretation of the regulations.
8. A clerical error in the description of the product(s) will not bind the company.
9. The product images on the site are for illustrative purposes only. In addition, there may be differences in appearance, color, size, etc. between the product as displayed on the site and the product in reality.
10. You may not copy and use, or allow others to use, in any other way the contents of the website, including on other websites, in electronic publications, in print publications, etc., for any other purpose.
11. The date recorded, for all purposes, in the company's computers is the decisive date for all matters.

2. Register for the website

1. In order to place an order for products, the customer must register on the site using an online registration form.
2. Any person over the age of 18, including a company, may use the site, including making purchases through the site, subject, among other things, to being capable of performing legally binding actions, having a valid credit card issued by one of the credit card companies (above and hereinafter: “the Orderer”).
3. Registration is a one-time process, after which the customer will not be required to re-register each time they make a purchase.
4. When registering on the site, the customer must enter a username and password as well as his/her e-mail address. If the customer forgets his/her password, the existing password as entered during the initial registration on the site will be sent to him/her to the e-mail address entered on the site.
5. In the future, if and when the customer requests to purchase additional products, the customer will be identified by the customer's name and the password he chose.
6. The customer's details will be updated according to the data filled in by the customer in the online registration form on the site.
7. The site management may from time to time require additional identification information.
8. Without derogating from the above, the Company may prevent any person from using the Site, temporarily or permanently, at its sole discretion and without prior notice, including in any of the following cases:
1. Committing an illegal act and/or violating the provisions of the law;
2. Violation of any of the terms and conditions of these Terms and Conditions;
3. Intentionally providing incorrect information;
4. Performing an action that may harm the proper operation of the site and/or any of the suppliers and/or any third party;
5. The credit card in the customer's possession has been blocked or restricted for use in some way.

3. Purchasing products on the website

1. The purchase of products will be made by adding products to the shopping cart. After adding products to the shopping cart, the customer will enter the online form designated for this purpose in the process.
The order must include the following information from the orderer: first name, last name, telephone number, e-mail address. In addition, the information of the recipient of the order must be provided: first name,
Last name, telephone number, town, street, house number, floor, apartment, entrance and any other identifying information that may help the delivery person easily locate the property to which the order is being delivered, including notes and information regarding the delivery operation and/or if the recipient of the order is not at home. The fields marked with an asterisk are mandatory and without them the order will not be completed.
2. In order to prevent any possibility of a delivery error, the customer must provide only accurate and correct details.
3. When completing the order, the orderer will confirm the order details and the accuracy of the details he provided.
4. Filling in all details is a prerequisite for placing the order, in order to place the order efficiently and without any problems, and therefore care must be taken to provide all details accurately.
5. The customer's details will be updated in accordance with what is stated in the online order form on the website.
6. Filling in all the details required to purchase the product by the customer will be considered placing an order (hereinafter: “the order”). Upon receipt of the order, the site will check the credit card details and only after approval by the credit card company and/or after receiving approval from PayPal as explained below, will the operation be approved and a final confirmation of the order will be issued. The customer will be charged for the product via the credit card and/or via the PayPal account as explained below, all subject to the availability of the products in the company's and the site's inventory.
7. The details as entered in the order form by the orderer will constitute conclusive evidence of the correctness of the actions.

4. How to pay for the order

1. Payment for the products will be made via credit card or via an account in an “electronic wallet” service such as PayPal (WWW.PAYPAL.COM) and any similar service, as may be available for use on the site, from time to time at the discretion of the site management.
2. If the customer chooses to use a credit card to make the payment, the customer will be asked to provide the credit card details, ID, card type and validity. If the customer decides to pay via PayPal, the company will be able to collect payment for the products only after receiving approval from PayPal. The use and receipt of approval from PayPal are subject to the terms of use of the PayPal website.
3. The site management reserves the right to discontinue the use of any payment method on the site, to permit the use of additional payment methods, and to apply different payment arrangements to different types of credit cards or payment methods that the site management will honor.
4. After the payment details have been entered in the online order form, the customer will be sent an e-mail confirmation of receipt of the order details. It is clarified that this confirmation does not obligate the site management to provide the ordered products and only indicates that the order details have been received by the site management.
5. Immediately after placing the order, the site management will check the payment method used by the customer. The customer will be given an appropriate notification that the order has been confirmed and his account will be charged for the cost of the service.
6. In the event that the transaction is not approved by the credit card company or by the PayPal account or any other payment method available at that time, the customer will receive an appropriate notification of this and the site management will contact the customer to complete the transaction or cancel it.
7. Approval of the purchase is conditional on the purchased product being in stock on the requested delivery date and/or the order date. If it is not specified that the product is not in stock and the product has not been downloaded from the site by the date the order is placed, the site management will not be obligated, subject to the site management refunding the customer any amount paid if it was paid to the site management and/or canceling the charge if it was made in respect of the purchase.
8. It is clarified that there may be situations in which, although the item is displayed on the site as being in stock, in reality it is missing and cannot be supplied. In these cases, the transaction will be canceled and the customer will not have any claim in this regard, subject to the refund of the amount paid by the customer.
9. The delivery date will be determined from the date of transaction confirmation by the credit card company or confirmation from the PayPal account or other available e-wallet service that has been approved.
10. If the customer was mistakenly charged by the credit card company, the customer must notify the site management in order to make a credit accordingly.

5. Delivery and transportation of products

1. The product will be delivered by the website only after receiving payment confirmation from the credit card company and/or from the PayPal account, meaning that the product has been paid for, as detailed above. The product will be delivered to the address that the customer entered and/or provided when placing the order in the online form.
2. The site undertakes to deliver the goods within the delivery time to the requested destination and will do its best to ensure that the product arrives quickly.
3. The site management will do its best to deliver the products quickly and the products within 3 business days if sent by courier or according to the date set on the site. Product delivery times include only the calculation of business days (Sunday to Thursday, excluding Fridays, Saturdays, holiday eves and holidays).
4. The deliveries that will be provided through the delivery company on behalf of the site management are in accordance with the delivery company's terms and conditions, and the delivery company's distribution areas.
5. If the shipping company is unable to make the delivery to the shipping address for any reason, the site management will notify the customer and work to find an alternative solution that will meet the wishes of both parties.
6. The delivery dates indicated on the site and above do not apply to products that are out of stock on the site and/or the relevant supplier's stock.
7. The delivery of products purchased on the website will be made via a courier company or via the distribution services of a courier company and/or via the Yael Soup courier system and/or in any other way, as decided by the company from time to time (hereinafter: “the courier”), or, at the customer’s choice, by means of independent collection as detailed in Section 14 below.
8. Shipping fees – In addition to the price of the ordered products, the customer will be charged a shipping fee. The amount of the shipping fee will appear at the end of the ordering process according to the shipping method chosen by the customer, unless otherwise specified.
9. The site will not be responsible for any delay and/or delay in the delivery and/or non-delivery of the products caused by one of the following reasons:
1. Force majeure and without prejudice to the generality of the foregoing, war, military operation, emergency operation and/or natural disasters and/or events beyond the control of the site, such as strikes and shutdowns in general markets and/or with suppliers of services or goods necessary for the production, supply or transportation of a product.
2. Any reason beyond the control of the site and/or the company.
3. A reason related to the mission operation.
10. The delivery times for the products indicated include only the calculation of business days (Sunday to Thursday, excluding Fridays and Saturdays, holiday eves and holidays).
11. The customer must immediately notify the site if the product has not been delivered within the delivery period detailed on the site, in which case the new delivery time will be calculated from the date a new date is agreed upon.
12. Be sure to fill in accurate and up-to-date details. In the event that the products are returned to the company due to incorrect details, the customer will be responsible for payment for shipping and handling fees.

13. Delivery of products purchased on the website will only be possible in Israel and within its borders.

14. Independent collection by the customer
1. A customer who has chosen to collect the products he purchased independently may do so at the address Gush Katif 5, Elazar. The customer must arrive independently during the opening hours detailed below and/or as these may change from time to time, in order to collect the products.
2. As a general rule, product collection will be possible from Sunday to Thursday between 10:00 and 17:00 and on Fridays between 10:00 and 13:00, or at other times as may be announced and updated from time to time, with the customer being responsible for verifying the possible collection times by telephone. The customer will arrive at the Gush Katif 5 address independently and under his own power and will bear all costs associated with his arrival to collect his order.

6. Cancellation of a purchase by the customer

1. The customer may cancel the transaction in accordance with the provisions of the Consumer Protection Law and the regulations established thereunder. Without derogating from the foregoing:

3. Cancellation of a transaction by the customer will not be possible for the purchase of certain items as specified in subsection 14C(d) of the Consumer Protection Law.
4. Cancellation of the transaction by the customer is subject to the product being returned, as far as is reasonable or possible, in its original packaging.
5. After receiving the cancellation notice, the customer will be refunded the amount paid by him for the product, minus cancellation fees (shipping fees are not part of the product price and will therefore be deducted separately from the refund) at a rate of 51% of the transaction amount or 100 NIS, whichever is lower. In the event of cancellation of a transaction due to a defect or non-conformity, the customer will not be charged any cancellation fees. Additional provisions of the Consumer Protection Law regarding the cancellation of the purchase by the customer, including the obligation to return the product, will also apply.

7. Cancellation of a purchase by the company

1. The Company shall be entitled, at its sole discretion, for any reason, and at any time, to cancel or terminate a transaction and/or sale and/or cancel an order, in whole or in part, and/or the operation of the Site, in whole or in part.
2. Notice of such cancellation or termination will be given to the user or the customer, and the company will refrain from charging the customer's credit card or refund any amount paid for the products, to the extent paid.
3. Except for the refund of the transaction amount as stated, the user or the customer will not have any claim, claim and/or demand against the company and/or the supplier for the cancellation of the transaction as stated in this section.
4. If it is discovered that a product is out of stock, the site may cancel the order or offer an alternative item of equivalent value. If an order is canceled as stated, the site will not be responsible and will not bear any direct, indirect, consequential or special damage caused to the customer or a third party, including but not limited to damage due to the purchase of the item from a third party at a higher price.

8. Copyright

1. All intellectual property rights, including patents, copyrights, designs, models and trade secrets, are the sole property of the Company or of other third parties who have authorized the site management to use them.
2. These rights apply, among other things, to the data on the site, including the list of products, the description and design of the products, and any other details related to its operation.
3. These rights also apply to the website name and domain name (www.yaelsoups.com) of the website, the trademarks (whether registered or not) are all the property of the company. They may not be used without its prior written consent.
4. You may not copy, reproduce, distribute, sell, market, rent or translate any information from the website, including trademarks, images and texts, product design, product images, etc., without obtaining prior written permission from the company.
5. You must not link to content from the site that is not the home page of the site or blog (deep linking), and you must not display or publish such content in any way, unless the deep link is to the web page on the site in its entirety and as it is, so that it can be viewed and used in a manner completely identical to using and viewing it on the site.
6. The site management may order the cancellation of a deep link even after giving its consent, at its sole discretion, and in this regard you will not have any claim and/or demand and/or claim against the site management.

7. All products on the site are manufactured by Yael's Soup or under the Yael's Soup brand.

9. Warranty

1. The company (and/or anyone on its behalf) does not bear any direct and/or indirect liability for damages arising from and/or related in any way to the repair, assembly and/or replacement of the products.
2. The Company (and/or anyone on its behalf) does not bear any direct or indirect liability for damages resulting from the use and/or reliance on information published on external sites, which can be accessed through any of the services on the Site. It is clarified that the Company does and will do its best to cooperate with reliable and reputable suppliers only.
3. The Company (and/or anyone on its behalf) does not bear any direct and/or indirect liability for damages arising from and/or related in any way to the use and/or performance of the Site.
4. In any case, the company will not be responsible for any activity of any other party that is not under its full control.

10. Confidentiality and Privacy

1. All personal details of the customer (name, e-mail, etc.) will be stored in the company's databases.
2. The company will not transfer the customer's personal information to any party other than suppliers, if necessary, and only for the purpose of completing a transaction.
3. The Company will not use the details of the customer's payment method except to make a payment for a transaction that the customer has requested to be made, and these details will not be transferred to any other party except for this purpose. For the avoidance of doubt, the details of the payment method are not stored in the Company's databases.
4. Notwithstanding the above, the Company shall be entitled to transfer a user's personal information to a third party in cases where the customer has committed an act or omission that harms and/or is likely to harm the Company and/or any third parties, the customer has used the Company's services to commit an illegal act, if the Company has received a judicial order ordering it to transfer the customer's information to a third party, and in any dispute or legal proceedings.
5. The Company may use the personal information of the customer, without identifying the specific customer, for the purpose of analyzing statistical information and presenting and/or delivering it to other parties.
6. Since this involves performing actions in an online environment, the Company cannot guarantee complete immunity from intrusion into its computers or disclosure of stored information by perpetrators of illegal actions. If a third party manages to penetrate information reserved by the Company and/or misuse it, the User will have no claim, claim or demand against the Company.
7. The Company may use “cookies” in order to provide the user with fast and efficient service and to save the customer the need to enter his personal information each time he enters the site.
8. In the event of events beyond the control of the Company and/or arising from force majeure, the Company will not be liable for any damage of any kind, indirect or direct, caused to the Client and/or to anyone on behalf of the Client if this information is lost or if it is used without authorization.

11. Law and Judgment

1. The law applicable to these Terms and Conditions and/or any action and/or dispute arising therefrom is Israeli law only.
2. In any case of dispute, the courts (magistrate or district) of Tel Aviv-Yafo will have the exclusive authority to hear it.
3. The law applicable to the use of the site, the order and these regulations, including the interpretation and enforcement of the regulations, is Israeli law only.
